Oswal Green Tech Limited has incorporated a wholly owned-majority foreign subsidiary in Dubai, United Arab Emirates (UAE), marking a strategic step towards expanding its real estate development business in international markets. The new entity, Oswal Greentech Real Estate Development L.L.C., has received approval from the Department of Economy and Tourism (DET), Government of Dubai.

The incorporation follows the company’s board meeting outcome communicated on June 22, 2026, in which the board approved the establishment of the overseas subsidiary.

Subsidiary Structure and Ownership

The newly incorporated entity is registered as a Limited Liability Company (LLC) in Dubai. Oswal Green Tech holds the majority stake, while Shael Oswal, a member of the company’s promoter group, owns a minority interest of 5%.

The subsidiary has been established as a new business entity and has yet to commence operations. Consequently, it has not generated any turnover during the past three years.

Investment and Management Details

The initial share subscription amounts to AED 38 million, comprising 38,000 equity shares with a face value of AED 1,000 each. The investment will be made through cash or banking channels.

Shael Oswal holds 2,000 shares, representing 5% of the subsidiary’s total share capital, and will serve as its manager. According to the company’s disclosure, apart from this shareholding, the promoter group has no other interest in the transaction.

Focus on UAE and GCC Real Estate Markets

The incorporation is aimed at strengthening Oswal Green Tech’s international business presence and creating opportunities in the real estate sector. The subsidiary plans to undertake land development, residential projects and commercial real estate developments in the UAE and the wider Gulf Cooperation Council (GCC) region.

As the entity is newly established, its business activities are yet to begin. The company has positioned the subsidiary as a platform for pursuing future real estate development opportunities across these markets.

The move represents a step in Oswal Green Tech’s efforts to broaden its geographical footprint and explore growth opportunities beyond its existing operations. The subsidiary’s future contribution will depend on the commencement of projects and the execution of its planned real estate development activities.
